In plain words

The short version of what this document says:

  • We're a marketplace and a diagnostic tool. We connect buyers and sellers of rent rolls. We don't act as a broker, agent, or financial adviser, and we don't take a cut of any sale.

  • The RolliScore is a guide, not a valuation. Use it to compare and shortlist, not to decide.

  • If you're a seller, the data you list and upload is your responsibility. We don't verify it. If you're a buyer, do your own due diligence.

  • We don't share your identity with the other party until both sides sign the NDA.

  • $299 per month for Verified, $699 one-off for a Listing Boost. GST applies. Both are non-refundable.

  • We don't touch any rent roll sale money. That happens between buyers, sellers and their solicitors, off-platform.

  • If you break the rules or use the platform fraudulently, we'll suspend your account.

About the Platform and Our Role

1.1

Marketplace Facilitator Only

RentRolli Pty Ltd (ABN 20 666 275 556) (we, us, or our) provides a two-sided B2B SaaS marketplace and diagnostic software platform designed to connect buyers, sellers, and brokers of residential property management rent rolls in Australia.
1.2

No Real Estate, Brokerage, or Financial Agency

We are explicitly a technology platform. We do not act as an estate agent, business broker, transaction intermediary, or fiduciary for any user. We do not represent buyers or sellers, we do not participate in negotiations, and we do not handle transaction funds, deposits, or escrow payments. Any transaction facilitated through the platform is executed entirely off-platform between the respective parties.

No Professional Advice

All tools, metrics, analytics, and content available on or through the Platform are general in nature and do not take into account your specific professional, financial, or personal circumstances. RentRolli does not provide financial, legal, tax, accounting, or real estate valuation advice.

The RolliScore and Platform Metrics

2.1

Indicative Nature Only

The RolliScore is a proprietary, automated, algorithmic scoring metric out of 100 calibrated across specific dimensions including yield, density, risk, compliance, concentration penalty, and geographic spread. The RolliScore, along with any summaries or reporting generated on the Platform, is strictly indicative only.

2.2

Reliance and Disclaimers

The RolliScore does not constitute a recommendation, endorsement, valuation, or suggestion to buy, sell, or hold any rent roll portfolio or asset. You acknowledge and agree that:

  1. (a)the RolliScore relies heavily on automated data inputs and unverified third-party claims;
  2. (b)you will not rely solely on the RolliScore when assessing a potential transaction; and
  3. (c)RentRolli Pty Ltd cannot be held liable for any investment decisions, loss of profits, or consequential damages resulting from your use of or reliance upon the RolliScore.

Account Registration and User Categories

3.1

Eligibility

The Platform is exclusively a B2B marketplace for commercial users. You must be an Australian business entity, licensed real estate professional, agency principal, or authorised broker to create an account.

3.2

User Roles

Users may operate on the Platform under three distinct roles:

  1. (a)Sellers: Agency principals or authorised representatives listing a rent roll portfolio for sale.
  2. (b)Buyers: Agency principals, institutional investors, or brokers seeking to acquire portfolios.
  3. (c)Brokers: Professional intermediaries acting on behalf of a buyer or seller.
3.3

Account Security

You are entirely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

Listings and Data Verifications

4.1

Seller Warranties and Claims

Sellers and brokers are solely responsible for the accuracy, legality, completeness, and truthfulness of any listing content, portfolio documentation, metrics, financial figures, data room uploads, or representations made on the Platform.

4.2

Limited Verification by RentRolli

Our verification processes are strictly limited to basic identity verification via third-party providers (Persona) and business existence validation (ABN checks). We do not audit, review, verify, or warrant the underlying performance, property data, compliance status, arrears, vacancy rates, or value of any rent roll listed on the Platform. Buyers must conduct their own comprehensive independent due diligence.

4.3

Data Extraction and Handling

When you upload reports from property management software to generate a RolliScore or build a listing, the Platform extracts required operational metrics such as property addresses for postcode density analysis, rent levels, fee percentages, compliance markers, arrears, and vacancy rates. We do not permanently retain or store the raw source files, but we retain the extracted structural data points to deliver the Platform functionality.

4.4

Exclusion of Sensitive Data

Users must ensure that no personal information relating to individual tenants or landlords (such as names, personal phone numbers, or bank details) is included in any uploaded documentation or data rooms. RentRolli disclaims all liability for any unauthorised upload of third-party personal information by users.

Anonymisation and Digital NDAs

5.1

Anonymity Protocols

The Platform enforces anonymity mechanisms where marketplace listings hide the seller identity by default. Users agree to maintain strict confidentiality and must not intentionally circumvent the platform mechanics to identify themselves or their counterparties off-platform prior to mutual agreement.

5.2

Binding Digital NDAs

When a buyer requests access to a seller data room, the Platform facilitates the digital execution of a Non-Disclosure Agreement (NDA). You agree that:

  1. (a)the digital execution via the platform logs your timestamp, IP address, and device fingerprint, constituting a binding electronic signature under the Electronic Transactions Act 1999 (Cth); and
  2. (b)RentRolli is not a party to the NDA, serves purely as an electronic facilitator, and bears no responsibility or liability for enforcing the NDA or resolving any breaches of confidentiality between users.

Financial Terms, Subscriptions, and Billing

6.1

Subscription Fees

Verified is billed as a monthly subscription of $299 AUD per month. Subscriptions automatically renew every month unless cancelled via your account dashboard prior to the next billing cycle.

6.2

Listing Boost Fees

Sellers may purchase a Listing Boost for a one-off fee of $699 AUD, which grants top-of-page visibility for a period of 3 consecutive months.

6.3

Refund Policy

To the maximum extent permitted under the Australian Consumer Law, all fees paid to RentRolli are non-refundable. Specifically, Listing Boost fees will not be refunded, pro-rated, or credited if the underlying rent roll is sold outside the Platform or withdrawn from the market before the 3-month period expires.

6.4

Goods and Services Tax (GST)

All fees charged directly by RentRolli (including subscription and boost fees) are subject to Australian Goods and Services Tax (GST), which will be clearly itemised at checkout. For the avoidance of doubt, RentRolli is not an intermediary party to any rent roll sale contract executed between users, and RentRolli does not handle, collect, or remit GST relating to any transaction involving the transfer of a rent roll asset.

Platform Rules and User Conduct

7.1

Prohibited Conduct

When using our Platform, you must not:

  1. (a)scrape, crawl, harvest, or extract data from the Platform using automated software or tools;
  2. (b)use the platform communications infrastructure to transmit spam, unsolicited marketing material, or commercial harassment;
  3. (c)bypass, disrupt, or attempt to compromise the security, data rooms, or encryption of the Platform; or
  4. (d)reverse engineer or attempt to copy the algorithmic logic underpinning the RolliScore.
7.2

Communication Rooms

Deal rooms and messaging functionality are provided to facilitate transactional communication. RentRolli does not monitor, audit, or actively police these conversations. We reserve the right, but hold no obligation, to log, archive, or review communications to ensure compliance with these Terms.

Intellectual Property

8.1

Our Intellectual Property

RentRolli owns or licences all intellectual property rights in the Platform, including but not limited to the source code, user interface designs, logos, software architectures, algorithms, and the underlying methodology powering the RolliScore. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations in accordance with these Terms.

8.2

User Content Licence

By uploading data, listings, metrics, or content to the Platform, you grant RentRolli a perpetual, irrevocable, worldwide, royalty-free, sublicensable licence to host, store, process, modify, and aggregate that data for the purpose of running the marketplace, generating the RolliScore, and compiling anonymised, aggregated industry benchmarks.

Limitation of Liability and Indemnity

9.1

Australian Consumer Law Guarantees

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (ACL) under the Competition and Consumer Act 2010 (Cth) that cannot be excluded by law.

9.2

Complete Disclaimer of Liability

Subject to clause 9.1, and to the maximum extent permitted by law, RentRolli Pty Ltd, its directors, employees, and agents, will not be liable to you or any third party for any direct, indirect, incidental, special, exemplary, or consequential loss or damage. This includes, without limitation, loss of data, loss of business reputation, loss of profits, commercial interruptions, or financial losses arising out of or in connection with:

  1. (a)your reliance upon the Platform tools, listings, data rooms, or the RolliScore;
  2. (b)any technical inaccuracies, system outages, data breaches, or unauthorised access to user accounts outside our reasonable control; or
  3. (c)the conduct, representations, contract breaches, or insolvency of any user you engage with through the Platform.
9.3

Cap on Liability

Where our liability cannot be entirely excluded by law but can be limited, our maximum total aggregate liability to you for any claim arising out of or relating to these Terms or the Platform is strictly limited to the total fees paid by you to RentRolli Pty Ltd in the 12-month period immediately preceding the event giving rise to the claim.

9.4

Indemnity

You agree to indemnify, defend, and hold harmless RentRolli Pty Ltd and its officers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your misuse of the Platform, your listing data, or your infringement of any third-party rights or confidentiality agreements.

Termination and Suspension

10.1

Right to Restrict Access

We reserve the right, at our absolute discretion and without liability or prior notice, to suspend, terminate, or restrict your account and access to the Platform if we suspect you are in breach of these Terms, operating fraudulently, or engaging in conduct harmful to the marketplace ecosystem.

Governing Law and Jurisdiction

11.1

Queensland Governance

These Terms of Service are governed by and construed in accordance with the laws of the State of Queensland, Australia.

11.2

Exclusive Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of Queensland and any courts competent to hear appeals from those courts in relation to any dispute, claim, or legal proceedings arising out of these Terms or your use of the Platform.

Modifications to Terms

We may amend these Terms of Service from time to time by publishing an updated version on the Platform. If a modification materially impacts your commercial rights as a subscriber, we'll notify you via email or a platform notification. Your continued use of the Platform following any amendments constitutes definitive acceptance of the updated Terms.
